Terms of service.

Introduction

These terms and conditions relate to Pantheon Health & Fitness Limited and/or its subsidiaries and affiliates (referred to as “Pantheon Plymouth”, “Pantheon”, “we”, “our”, or “us”), including all gym facilities and services, Pantheon website and Pantheon mobile application.

Please read these terms carefully before you register to use our facilities, Site or the App. These terms tell you who we are, how we will make the gym facilities, the Site and the App available to you, how you and we may change or end the contract, what to do if there is a problem and other important information. If you think that there is a mistake in these terms, please contact us to discuss.

 

Definitions

To make these terms easier to read we use the following definitions.

App:  our Pantheon Mobile Application (available on Apple App store or Google Play store)

Charges:  the fees payable by you to Pantheon Health & Fitness Limited for fitness, health, or other related services.

Coach:   a person or group of people providing fitness, health, or other related services on behalf of Pantheon.

‍Facility:  any space where health and fitness content is provided by Pantheon coaches. A facility may be indoors (e.g. a gym space) or outdoors (e.g. a public park). Our main facility is at Pantheon Plymouth, Cambridge Road, Plymouth, PL2 1PU.

Programmes:  the fitness, health or other related programmes provided by Coaches, and available to purchase on the Pantheon website or via the Pantheon App. 

‍Service:  the personalised service provided by Pantheon Plymouth for accessing our gym facilities, remote content via the Pantheon mobile application, Pantheon website, as well as all content and software associated with our service.

Site:  our website www.pantheonplymouth.co.uk

Virus:  anything (including any software, code, file, program, or device) which may:

·      prevent, impair or otherwise adversely affect the operation of any computer software, hardware or network, any telecommunications service, equipment or network or any other service or device.

·      prevent, impair or otherwise adversely affect access to or the operation of any program or data, including the reliability of any program or data (whether by re-arranging, altering or erasing the program or data in whole or part or otherwise);

·      or adversely affect the user experience, including worms, trojan horses, viruses and other similar things or devices.

Writing:  the words "writing" or "written" includes paper hardcopies, emails, and push messages via the App.

 

 

Agreement

Review these Terms of Service ("Agreement") thoroughly. This Agreement is a legal agreement between you and Pantheon. You are required to read and agree to these Terms of Service, the Privacy Policy and the Liability Waiver. All documents are available on our website and app, or a copy can be requested by emailing hello@pantheonplymouth.co.uk.

 

You agree to these terms by attending any Pantheon gym facility, using any Pantheon services, accepting electronically, or by installing, accessing, or using the Pantheon App.

If you do not agree to this Agreement, then you may not use or access any of our services or facilities.

If you are an individual located in the United Kingdom (“UK”) who is accessing or using Pantheon services, facilities, products, App, website, or remote content, your relationship is with Pantheon Health & Fitness Limited and shall be governed by and constructed in accordance with the laws of the UK and its jurisdiction.

These terms apply to all users, including but not limited to, members, contributors of content, customers, vendors, merchants, as well as browsers.

Any new features added to our App, or website, will also be subject to our terms and conditions.

We reserve the right to update, change or replace any part of our Terms of Service, and Policies, by posting updates and/or changes to our website and/or App. It is therefore your responsibility to review our terms and policies periodically, as continued use of our service constitutes acceptance of those changes.

If we must contact you, we will do so by writing to you at the email address you provide when you register on the website, or by using push messages via the Pantheon mobile App.

 

Our Services

Pantheon Plymouth provides a personalised subscription service that allows members to access health and fitnesscontent, either in person at one of our gym facilities, or remotely via our App.

 

By agreeing to these Terms of Service you represent that you are at least eighteen years of age and or you have given consent to allow any of your minor dependents to use this site.

You may not use our Services for any illegal or unauthorised purpose nor may you, in the use of the Service, violate any laws (including but not limited to copyright laws).

You must not transmit any worms or viruses or any code of a destructive nature.

A breach or violation of any of the Terms will result in an immediate termination of your Services.

Pantheon reserves the right to decline services to anybody for any reason at any time.

In using our service, you understand that your content (not including payment information), may be transferred unencrypted. For example, an email to you confirming your purchase which may involve transmissions over various networks and undergo changes to conform and adapt to technical requirements of connecting networks or devices.

Credit card information is always encrypted during transfer over networks. Pantheon’s website and App are protected and encrypted using SSL securing the transmission of data between yourself and the Site.

In using our service, you agree not to reproduce, duplicate, copy, sell, resell or exploit any element of our Service, including and not limited to; product, information, imagery, services, and any contact on the website or email through which the service is provided, without written permission by us.

Headings included in this agreement are solely used for your convenience and will not limit nor affect any of our Terms.

 

Gym Facility

Our main gym facility is at Pantheon Plymouth, Cambridge Road, Plymouth, England, PL2 1PU.

 

Mobile App

Our Pantheon Mobile Application (“App”) is operated and hosted by Pantheon Health and Fitness Limited. This mobile application provides us with gym management tools that allow us to sell, monitor and deliver our services to you. We offer this to you including all information, tools and services conditional upon your acceptance of our terms, conditions and policies stated on this software. Any new features added to our member app will also be subject to our terms. All the payments on the App are processed by a secure third-party payment provider.

 

Website

The material on the Pantheon website is provided for general information only and should not be used as the sole reason for making any decision. Pantheon Plymouth maintains and updates information periodically to ensure information is kept current, however we will not be held accountable for any information which is not complete or current.

Pantheon Plymouth reserves the right to, at any time and without notice; modify any existing content or services on our App or website, although we are not obliged to do so. Changes may include but not limited to:

  • Amend pricing for any of our products

  • Amend any description or content

  • Posting of articles

  • Modify, suspend, or discontinue any product

  • Modify, suspend, or discontinue any service

 

Pantheon Plymouth will not be liable to you or any third-party, for any change to content or services. All the payments on the Site are processed by a secure third-party payment provider.

 

Acceptance of Terms and Policies

By visiting Pantheon gym facility, website or App, and/or purchasing services from us, you are engaging in our service and therefore agree to our terms and conditions stated. These terms apply to all users, including but not limited to, contributors of content, customers, vendors, members, merchants, as well as browsers. We therefore ask that you read our terms and policies prior to using any Pantheon products or services. If you do not agree to all terms and policies, then you may not access or use any service.

 

Our contract with you

When you register. Acceptance of your application to register to use the Site or the App will take place when we message you to accept it, at which point a contract will come into existence between you and us.

If we are unable to accept your application, we will inform you in writing.

Pantheon reserves the right to decline services to anybody for any reason at any time. This includes but is not limited to, reducing or declining any order or service requested.

 

Use of the Site and the App

You must not access, store, upload, distribute or transmit any Viruses, or any material to the Site or the App that:

a)     is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive.

b)     facilitates illegal activity.

c)     depicts sexually explicit images.

d)     promotes unlawful violence.

e)     is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or

f)      is otherwise illegal or causes damage or injury to any person or property.

We will remove any posting made on the Site or the App if, in our opinion, that post does not comply with the content standards set in this clause.

You agree that you will comply with the standards set out in this clause and that you will be liable to us and will be responsible for any damage that we suffer due to any breach of this obligation by you.

You shall not:

a)     except as may be allowed by any applicable law which is incapable of exclusion by agreement between us and except to the extent expressly permitted under these terms.

                         I.         attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Site or the App in any form or media or by any means; or

                        II.         attempt to de-compile, reverse compile, disassemble, reverse engineer, or otherwise reduce to human-perceivable form all or any part of the Site or the App.

b)     transfer or commercially exploit, or otherwise make your account on the Site or the App available to any third party, or

c)     introduce or permit the introduction of any Virus into our network and information systems.

d)     give/post/send false or misleading information

e)     upload or transmits any malicious code or virus

f)      interfere with any security features, our services, or any related website

You agree to comply with the terms of our Privacy Policy and Website Terms of Service as published on the Site from time to time. Pantheon reserve the right to terminate your use of our services and/or take legal action for violating our terms.

We have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to the Site, or the App constitutes a violation of their intellectual property rights, or of their right to privacy.

You acknowledge that the Site and the App may enable or assist you to access the website content of, correspond with, and purchase products and services from, third parties via third-party websites and that you do so solely at your own risk. We make no representation, warranty or commitment and shall have no liability or obligation whatsoever in relation to the content or use of, or correspondence with, any such third-party website, or any transactions completed, and any contract that you may enter with any such third party. Any contract entered, and any transaction completed via any third-party website is between you and the relevant third party, and not us. We recommend that you refer to the third party's website terms and conditions and privacy policy prior to using the relevant third-party website. We do not endorse or approve any third-party websites.

Site and App Accuracy

Pantheon takes great care keeping its website and App up to date, however occasionally there may be typographical or image inaccuracies and/or omissions, in relation to product pricing, product descriptions, shipping charges and times, availability, offers etc. In the unfortunate event that this happens it could affect the true reflection of a product or service provided by us. We reserve the right to correct any errors and cancel any service request without any prior warning if the information in the service requested is incorrect.

We are under no obligation to update edit or clarify any information related to the service or related websites except where required by law.

 

Passwords and Account Access

You will be asked to set up a password to access your client account on the Site or the App.

 

The member who created the Pantheon account and whose Payment Method is charged (the "Account Owner") is responsible for any activity that occurs through the Pantheon account. To maintain control over the account and to prevent anyone from accessing the account (which would include information on viewing history for the account), the Account Owner should maintain control over their account and not reveal the password or details of the Payment Method associated with the account to anyone. You are responsible for updating and maintaining the accuracy of the information you provide to us relating to your account. We can terminate your account or place your account on hold to protect you, Pantheon or our partners from identity theft or other fraudulent activity. 

 

Membership 
Your Pantheon membership will continue until terminated. To use the Pantheon service, you must have created an account via our website or mobile application and provide us with one or more Payment Methods. "Payment Method" means a current, valid, accepted method of payment, as may be updated from time to time, and which may include payment through your account with a third party. You authorise us to charge the membership fee for the next billing cycle to your Payment Method (see "Cancellation" below).

We offer several membership plans. Some membership plans may have differing conditions and limitations, which will be disclosed at your sign-up or in other communications made available to you. You can find specific details regarding your Pantheon membership by visiting the www.pantheonplymouth.co.uk and clicking on the "Memberships" tab available at the top of the pages under “Pantheon”.

When setting up an account, you agree to provide up to date information such as but not limited to contact name, address, billing address, phone number, email etc. The information provided by you will be deemed accurate by us and we take no responsibility for errors or mistakes in that information.

You warrant that the information provided can be shared by you and that it is not being unlawfully used to purchase goods or services from us. If the information provided by you is in doubt, we reserve the right to cancel your service without notice.

 

Promotional Offers

We may from time to time offer special promotional offers, plans or memberships (“Offers”). Offer eligibility is determined by Pantheon at its sole discretion and we reserve the right to revoke an Offer and put your account on hold if we determine you are not eligible. We may use information such as device ID, method of payment or an account email address used with an existing or recent membership to determine Offer eligibility. The eligibility requirements and other limitations and conditions will be disclosed when you sign-up for the Offer or in other communications made available to you.

 

Price and payment

The price of the membership you have selected (which includes all sales and other applicable taxes) will be the price indicated on your profile in the App. Pricing details can also be found under “memberships” on the Pantheon website. The price is payable to the Pantheon Health and Fitness Limited via the Site or the App. All the payments on the Site or the App are processed by a secure third-party payment provider. If you think that the amount charged is wrong, please contact Pantheon at hello@pantheonplymouth.co.uk promptly who should resolve the issue with you. Our responsibility for loss or damage suffered by you if you are a consumer.

 

Programming

When the programmes are provided

Programmes will be made available to you as soon as you have paid the Charges or, if later, at the time that the Programme is released by the Coach.

 

We are not responsible for delays outside our control

If the supply of the Programmes is delayed by an event outside our control, then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. Provided we do this we will not be liable for delays caused by the event. If there is a risk of substantial delay, you may contact the Coach to end the contract to buy that Programme and request a refund for any Charges that you have paid in relation to a Programme that you have paid for but not received.

 

Reasons we may suspend the supply of Programme to you

We may have to suspend the supply of a Programme if the Coach notifies us, or we become aware that there are technical problems with the Programme.

 

Your rights if we suspend the supply of any Programme

We will contact you in advance to tell you that the availability of a Programme will be suspended unless the problem is urgent or an emergency. If we must suspend a Programme, you may contact the Coach to end the contract and to request a refund for any sums you have paid in advance for the Programme.

 

We will not grant access to a Programmes if you do not pay

If you fail to pay for a Programme when you are supposed to, you will not be able to access the Programme.

 

If there is a problem with a Programme

How to tell us about problems. If you have any questions or complaints about a Programme, please contact us via email to hello@pantheonplymouth.co.uk.

 

Your rights in respect of defective Programmes

If you are a consumer, we are under a legal duty to supply the Site and the App in conformity with this contract. Nothing in these terms will affect your legal rights.

 

Custom Programming Minimum Term

There is a minimum sign-up term of 3 months for Custom Programming.

 

Billing and Cancellation 
Billing Cycle. The membership fee for Pantheon gym memberships, including fitness programming, will be charged to your Payment Method on first of every month. In some cases, your payment date may change, for example if your Payment Method has not successfully settled, or if the first of the month falls on a non-banking day, or if you start your membership mid-month.
Payment Methods. To use Pantheon services, you must provide one or more Payment Methods. You authorise us to charge any Payment Method associated to your account in case your primary Payment Method is declined or no longer available to us for payment of your subscription fee. You remain responsible for any uncollected amounts. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not cancel your account, we may suspend your access to the service until we have successfully charged a valid Payment Method. For some Payment Methods, the issuer may charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your Payment Method. Local tax charges may vary depending on the Payment Method used. Check with your Payment Method service provider for details.
Updating your Payment Methods. You can update your Payment Methods by going to the "Account" page on the Pantheon mobile application. We may also update your Payment Methods using information provided by the payment service providers. Following any update, you authorise us to continue to charge the applicable Payment Method(s). 
Cancellation. You can cancel your Pantheon membership at any time, and you will continue to have access to the Pantheon service until the end of the 30-day cancellation period. Payments are non-refundable and we do not provide refunds or credits for any partial membership periods or unused Pantheon services. To cancel, go to the "Account" page on the Pantheon mobile application and follow the instructions for cancellation. The date you will lose access to Pantheon services can be found on the "Account" page.

Note: If you wish to cancel Custom Programming, there is a minimum sign-up term of 3 months for Custom Programming. i.e. you must have paid for at least 3 months of the custom  programming before the cancellation can take effect.

 

Changes to the Price and Subscription Plans. We may change our subscription plans and the price of our service from time to time; however, any price changes or changes to your subscription plans will apply no earlier than 30 days following notice to you.

 

Your rights to cancel your membership

You can always cancel your membership with us: To do this you should select ‘cancel membership’ in the client profile section of the App or contact us by email. You can do this at any time and your account will be closed 30 days after your request.

If you have purchased a Custom Programming membership, you are required to have a minimum of three months of service before cancellation.

What happens when you cancel your membership?

After cancelling your membership, you will maintain access to the gym facilities and/or fitness programming for 30 days. 30 days after your cancellation request, you will lose access to gym use and fitness programming.

 

Your rights to delete your account

You can always delete your account with us: To do this you should select ‘delete account’ in the client profile section of the App or contact us by email. You can do this at any time and your account will be closed within 24 hours.

What happens when you delete your account?

You will not be able to access any more Programs and all historic data will be permanently deleted.

 

Our rights to terminate

We may terminate your contract or membership, remove your access to the Site or the App, or bar you from using the gym facilities (if deemed necessary), if you breach the any of the terms of the contract, our Privacy Policy or Terms of Service.

We may terminate your membership, or access to the Site, App or the gym facility, by giving you written notice, for example, if you:

·      Fail to pay the membership fees, or any other money owed.

·      Commit an incurable breach of this agreement or fail to remedy that breach in the specified time.

·      Consistently fail to adhere to gym rules, or  Health and Safety recommendations.

·      Are charged, or convicted of a criminal offence that is deemed inappropriate for the continuance of the relationship (membership, contract, etc.).

·      Behave in a manner which is inconsistent with the continuance of the relationship between yourself and Pantheon. E.g. Gross immorality, discrimination, harassment, or being on the premises whilst under the influence of drink or drugs.

Pantheon Plymouth retains the right to cancel any agreement  (membership, contract, order, etc.)  if they believe it is beneficial to the Gym to do so.

 

Site Maintenance

We will use our reasonable endeavours to make the Site and App Services available 24 hours a day, seven days a week, except that, on occasion, we may need to carry out emergency maintenance in which case Pantheon Plymouth will use reasonable endeavours to notify you by email or push notification.

 

How we may use your personal information

We will only use your personal information as set out in our Privacy Policy.

 

Other important terms

Third Parties

Pantheon may provide access to third parties which we do not monitor or have any control. Pantheon are not responsible for examining or evaluating such content and therefore shall not be held liable for any harm or damages related to your optional use of third party links or tools. You understand that by following any current or future third-party link offered you do so at your own risk and accept that only the third-party warranties, terms and conditions apply.

We encourage you to read any relevant terms and policies attributed to the third party before engaging. Pantheon does not warrant the use of any third-party tools or websites.

 

We may transfer this Agreement to someone else. We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.

 

You need our consent to transfer your rights to someone else. You may only transfer your rights or your obligations under these terms to another person if we agree to this in writing.

 

Nobody else has any rights under this contract. This contract is between you and us. No other person shall have any rights to enforce any of its terms. Neither of us will need to get the agreement of any other person to end the contract or make any changes to these terms.

 

If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

 

Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you later. For example, if you miss a payment and we do not chase you, but we continue to provide the Programs, we can still require you to make the payment later.

 

Comments / Suggestions

Any comments or suggestions made by you directly to Pantheon regarding but not limited to; creative ideas, proposals, plans, suggestions, contest entries, comments, whether via email, social media, website, post, or otherwise, Pantheon reserves the right to, at any time, edit, copy, distribute, translate and/or publish.

We are and shall not be obliged to;

  • respond to any comment

  • maintain any comments in confidence

  • pay any compensation

We may but are not obliged to monitor, edit or remove content that we determine to be; threatening, unlawful, abusive, defamatory, libellous, offensive, violating service terms and/or policies, or any other content which we feel inappropriate.

As a user of Pantheon’s facilities, website and/or App, you agree not to violate our terms or policies or the right of any third-party. You also agree that your comments will not be seen to be abusive, libellous, unlawful, defamatory, offensive, in violation of our terms and/or policies, contain any computer virus or other malware that could affect our operation of service or any third-party related websites.

We take no liability for any comments posted/made by you or any third-party.

 

Disclaimer and Limitation of Liability

A Liability Waiver must be read and signed prior to using any service / product.

Nothing in these terms and conditions is meant to limit any rights you might have as a consumer.

Digital content

Pantheon work alongside reputable web and App providers to maintain our website, aiming to keep it error free, fast, and secure, however, Pantheon cannot guarantee nor warrant that the use of our services will be timely, secure, or error-free.

You understand and agree that we may amend, pause, or cancel our services at any time without notice.

You understand and agree that the use of our services is at your own risk.

You understand that all services and products provided by Pantheon will adhere to Pantheon returns policy, and where it is clearly stated a product or service may be exempt from warranty or return.

Neither Pantheon nor any director, employee, intern, supplier, contractor, officer, agent, affiliate, service provider or licensor, will be held liable for any claim, loss, injury, nor any direct, indirect damages including but not limited to, loss of savings, loss of data, loss of profits, loss of revenue, replacement costs, or any similar damages, resulting from the use of our website, App, services or products .

You agree that from time to time we may remove services for indefinite periods of time or cancel services at any time, without notice to you.

We only supply the Site or the App to you for personal and private use. We will not be liable to you if you use our products or services for any commercial or business purpose.

Indemnification

You agree to indemnify, Pantheon and its employees, associated businesses, agents, contractors, sub-contractors, licensors or any other associated party, defend and hold harmless from any claim or demand including reasonable solicitors’ fees, made by any third-party due to or arising out of your breach of these Terms of Service

Severability

If a term or policy set out by Pantheon are determined to be void, unenforceable and/or unlawful in your particular jurisdiction, our liability shall be limited to the full extent of the permitted law. This amended liability will only apply to the terms deemed unenforceable within our jurisdiction but will not affect the validity nor enforceability of any other terms or policies outlined by Pantheon.

Termination

All liabilities and obligations of the parties incurred at the time you engaged in our services will succeed the termination of this agreement.

Our terms of service are effective until the point of termination by either you or Pantheon (received in writing). You may terminate Pantheon terms of service at any time by either ceasing to use our services and/or by notifying us that you no longer wish to use our services (both attract a 30 day notice or equal to the contract payment period).

Note: If you use Custom Programming, there is a minimum sign-up term of 3 months for Custom Programming. i.e. you must have paid for at least 3 months of the custom programming before the agreement is terminated.

If Pantheon has reason to suspect that you have not complied with any element of our terms or policies, we are at liberty to terminate this agreement at any time without notice. You will be held liable for all amounts up to and including the termination period (30 days). We may also choose to deny you access to any services supplied by Pantheon thereafter.

Entire Agreement

Pantheon terms and policies have been published on our site and by engaging in the use of our service you agree to all terms outlined. Operating rules, Terms of service, and policies published by Pantheon on its site constitutes full agreement between you and

Pantheon and governs the use of our services which supercedes any prior agreements, proposals, communications between you and Pantheon (Including but not limited to; any prior terms, policies or communications be it verbal or written).

Exercising or enforcing any right or provision of these services will be done at our discretion and any failure to do so shall not waiver any right or provision to do so in future.

Any misinterpretation of our terms or policies shall not be construed against the drafting party nor Pantheon.

Restrictions of Liability

Pantheon Plymouth accepts no responsibility / liability for any damage or loss to any money, valuables, or other personal property left unattended on company premises. Any property stored in lockers provided by Pantheon is stored at the owner’s risk and no liability for loss or damage will be accepted by Pantheon.

Members, guests and visitors must warrant and represent that they are in good physical condition and capable of doing the physical exercise / activity. Any class, activity, training programme, or treatment is undertaken entirely at your own risk.  While we take care to conduct our classes in a safe and responsible manner there is an inherent risk of injury in any physical activity. Martial arts are contact sports, and participation could involve the risk of serious or fatal injury. Pantheon Plymouth, its Instructors or Officers shall not be liable for any accident or injury sustained whilst on Pantheon Plymouth’s premises, except in so far as it can be proven that this relates to a wilful act, neglect or default of the Company or its Instructors or Officers.

Members, guests and visitors, must read all Health & Safety notices displayed on Pantheon premises and comply with their recommendations.

Which laws apply to this contract and where you may bring legal proceedings? 

 These terms of service, policies and any separate agreements whereby we provide you services shall be governed by and constructed in accordance with the laws of the UK and jurisdiction and venue in the courts of Plymouth UK. If you live in Scotland, you can bring legal proceedings in respect of our services in either the Scottish or the English courts. If you live in Northern Ireland, you can bring legal proceedings in respect of our services in either the Northern Irish or the English courts.
